Terms of Service

These Terms of Service (“Terms”) govern access to and use of the services provided by Alpha Intelligence Labs, Inc. (“Alpha Labs,” “we,” “our,” or “us”) via our website (www.alphalabs.ai), application (app.alphalabs.ai), and related services (collectively, the “Services”).

By accessing or using the Services, you (“Customer” or “you”) agree to be bound by these Terms. If you are accessing the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization.

1. Eligibility & Account Registration

To access the Services, you must create an account. You agree to provide accurate and complete information and to keep this information updated. You are responsible for maintaining the confidentiality of your credentials and all activity under your account.

If you are using the Services on behalf of an organization, multiple authorized users may be granted access under your subscription, and you are responsible for managing their use.

2. Use of the Services

Subject to these Terms and your Master Services Agreement (MSA), Alpha Labs grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services solely for your internal business purposes.

You agree not to:

  • Use the Services for any illegal or unauthorized purpose;

  • Upload viruses, malware, or harmful code;

  • Attempt to gain unauthorized access to other accounts or systems;

  • Reverse-engineer, decompile, or disassemble any part of the Services.

3. Customer Content

You retain full ownership of all documents and data you upload to the Services (“Customer Content”).

By uploading or transmitting Customer Content, you grant Alpha Labs a limited, non-exclusive license to use, reproduce, store, and process such content solely to provide and improve the Services in accordance with your MSA and our Privacy Policy.

Alpha Labs will not use Customer Content to train AI models without your explicit written consent.

4. Payment Terms

Use of the Services is subject to payment terms as outlined in your separate Master Services Agreement (MSA). These Terms do not include provisions related to refunds or cancellations, as those are governed by your MSA.

5. Service Level Agreement (SLA)

Alpha Labs commits to a 99.95% uptime SLA for its Services, excluding scheduled maintenance and force majeure events. Detailed SLA terms are defined in your MSA.

6. Data Retention & Termination

Either party may terminate the Services in accordance with the MSA. Upon termination:

  • Customer access will be revoked,

  • Customer Content will be retained for 90 days, after which it will be permanently deleted.

You are encouraged to export your data before termination or contact support for assistance within the retention period.

7. Disclaimer of Warranties

The Services are provided “as-is” and “as available” without warranties of any kind, express or implied. Alpha Labs does not warrant that the Services will be error-free or uninterrupted.

8. Limitation of Liability

To the maximum extent permitted by law, Alpha Labs shall not be liable for any indirect, incidental, consequential, or punitive damages, or for lost profits or revenues, whether incurred directly or indirectly.

9. Dispute Resolution & Arbitration

Any disputes arising out of or relating to these Terms or the Services will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the decision shall be final and binding.

You waive any right to a jury trial or to participate in a class action.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.

11. Modifications

We may update these Terms from time to time. If material changes are made, we will notify you via email or through the application. Continued use of the Services after changes become effective constitutes your acceptance.
